These Terms of Service govern your access to and use of the INOSYS platform, including iAcademy and all associated services. By creating an account or using INOSYS, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and INOSYS Limited, a company incorporated in Nigeria and a subsidiary of Cosmos Origin LLC (“INOSYS”, “we”, “us”, “our”), governing your access to and use of the INOSYS platform, website, mobile application, and all associated services (collectively, the “Platform”).

By registering an account, accessing, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms, the following definitions apply:

• “Platform” means the INOSYS digital ecosystem, including the website at inosys.org, the mobile application, and all services, tools, and features made available through them.
• “iAcademy” means the education and learning module of the Platform through which courses, programmes, and live events are hosted and delivered.
• “Content” means any text, video, audio, images, documents, courses, materials, or other information made available on or through the Platform.
• “Partner” or “Facilitator” means any individual, educator, academy, or organisation that has entered into a Partner Agreement with INOSYS to publish and deliver courses or services through the Platform.
• “User Content” means any content that a User submits, posts, uploads, or otherwise makes available on the Platform.
• “Subscription” means a recurring paid plan granting access to designated features and content on the Platform.
• “Cosmos Group” means INOSYS Limited, Cosmos Origin LLC, Cosmos Academy, Cosmos Creative Technology, Cosmos Conference, and any other entities under common ownership or control.

3. Eligibility

To access and use the Platform, you must:

• be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater;
• have the legal capacity to enter into a binding contract in your jurisdiction;
• not be prohibited from using the Platform under any applicable law or regulation; and
• provide accurate, complete, and current registration information.

If you are accessing the Platform on behalf of an organisation or company, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to “you” shall include that entity.

4. Account Registration

To access certain features of the Platform, you must create an account. When registering, you agree to:

• provide accurate, truthful, and complete information;
• keep your account information current and up to date;
• maintain the confidentiality of your login credentials;
• not share your account with any third party; and
• notify INOSYS immediately at support@inosys.org if you suspect any unauthorised access to your account.

You are solely responsible for all activity that occurs under your account. INOSYS will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

INOSYS reserves the right to refuse account registration or to cancel an existing account at its sole discretion.

5. Use of the Platform

Subject to your compliance with these Terms, INOSYS grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or internal business purposes.

You may use the Platform to:

• enrol in and access courses and programmes on iAcademy;
• participate in live events, workshops, and masterclasses;
• access community features, including messaging, forums, and networking tools;
• publish and sell content or services through the Platform as a Partner, subject to a separate Partner Agreement; and
• access any other features made available to you based on your subscription or access tier.

All rights not expressly granted in these Terms are reserved by INOSYS.

6. Prohibited Conduct

You agree that you will not, under any circumstances:

• use the Platform for any unlawful, fraudulent, or deceptive purpose;
• infringe the intellectual property rights of INOSYS, its Partners, or any third party;
• upload, post, or transmit any content that is defamatory, harassing, abusive, obscene, or otherwise objectionable;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
• scrape, crawl, or extract data from the Platform using automated tools without prior written consent;
• attempt to gain unauthorised access to any part of the Platform, server, or network;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• use the Platform to transmit spam, unsolicited communications, or any form of malware;
• circumvent, disable, or interfere with any security or access control features of the Platform;
• reproduce, distribute, resell, or sublicense access to the Platform or any content without authorisation; or
• use the Platform in any way that could damage, overburden, or impair its functionality.

Violation of this section may result in immediate account suspension or termination, and may expose you to civil and criminal liability.

7. Content on the Platform

• INOSYS Content. All content created and published by INOSYS — including course materials, platform design, documentation, and marketing materials — is owned by Cosmos Origin LLC and licensed to INOSYS. You may not copy, reproduce, distribute, or create derivative works from INOSYS content without prior written permission.
• User Content. You retain ownership of any content you submit to the Platform. By submitting User Content, you grant INOSYS a worldwide, royalty-free, non-exclusive, sublicensable licence to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Platform.

You represent and warrant that:

• you own or have the necessary rights to submit your User Content;
• your User Content does not infringe the rights of any third party; and
• your User Content complies with these Terms and all applicable laws.

INOSYS reserves the right to remove any User Content that violates these Terms or that INOSYS deems harmful, offensive, or otherwise objectionable, without notice.

8. Partner and Facilitator Content

Content published by Partners and Facilitators on the Platform is subject to the terms of their individual Partner Agreement with INOSYS. INOSYS does not endorse or guarantee the accuracy, quality, or completeness of Partner content.

INOSYS acts as a platform provider and marketplace for Partner content. To the fullest extent permitted by law, INOSYS is not liable for any inaccuracies, errors, or omissions in Partner content, or for any outcomes resulting from your use of or reliance on such content.

9. Payments, Fees, and Refunds

• Fees. Access to certain features, courses, and programmes on the Platform requires payment. All fees are displayed in the applicable currency at the point of purchase and are inclusive of any applicable taxes unless otherwise stated.
• Payment Processing. All payments are processed through INOSYS's designated third-party payment processors. By making a payment, you agree to the terms and conditions of the relevant payment processor. INOSYS does not store your full payment card details.
• Refund Policy. The following refund policy applies to purchases made on the Platform:
  • Courses: You may request a full refund within 7 days of purchase, provided you have not completed more than 20% of the course content.
  • Live Events: Refunds for live events are available up to 48 hours before the scheduled start time. No refunds are issued after this point.
  • Subscriptions: Refunds for subscription fees are available within 48 hours of the initial charge for a new subscription period. No refunds are issued for cancellations made after this window.
  • Exceptions: INOSYS reserves the right to decline refund requests in cases of suspected abuse of the refund policy.

10. Subscriptions and Cancellations

Where INOSYS offers subscription plans, the following terms apply:

• Billing. Subscriptions are billed on a recurring basis (weekly, monthly, or annually, as selected) and will automatically renew at the end of each billing period unless cancelled.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to subscription features until that date.
• Price Changes. INOSYS reserves the right to change subscription pricing. You will be notified of any price changes at least 30 days before they take effect. Continued use of the Platform after the price change constitutes acceptance of the new pricing.
• Completed Course Access. Upon completion of a course, you retain permanent reference access to the course materials, regardless of your subscription status, in accordance with INOSYS's completed course access policy.

11. Intellectual Property

The INOSYS platform, name, logo, brand identity, software, architecture, content, and all associated intellectual property are owned by Cosmos Origin LLC and licensed to INOSYS Limited. Nothing in these Terms transfers any ownership of INOSYS's intellectual property to you.

The INOSYS name, logo, and all related marks are trademarks of Cosmos Origin LLC. You may not use these marks without prior written permission.

If you believe that any content on the Platform infringes your intellectual property rights, please contact us at legal@inosys.org with the following information:

• a description of the copyrighted work or intellectual property you claim has been infringed;
• a description of where the infringing content appears on the Platform;
• your contact information; and
• a statement that you have a good-faith belief that the use is not authorised.

12. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your personal data as described in the Privacy Policy.

INOSYS is committed to protecting your personal data in accordance with the Nigeria Data Protection Act (NDPA) 2023 and, where applicable, the General Data Protection Regulation (GDPR) and other relevant data protection laws.

INOSYS will not sell your personal data to third parties. Data may be shared with trusted service providers operating on INOSYS's behalf, subject to appropriate data protection agreements.

13. Disclaimers and Limitation of Liability

• Platform Availability. INOSYS provides the Platform on an “as is” and “as available” basis. INOSYS does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. INOSYS may perform maintenance, updates, or modifications that temporarily limit access to the Platform.
• No Educational Warranty. Courses and programmes on the Platform are provided for educational and informational purposes. INOSYS does not guarantee any specific learning outcome, career result, or professional qualification from completion of any course.
• Limitation of Liability. To the fullest extent permitted by applicable law, INOSYS, its officers, directors, employees, affiliates, and licensors shall not be liable for:
  • any indirect, incidental, special, consequential, or punitive damages;
  • any loss of profits, revenue, data, business, or goodwill; or
  • any damages arising from your use of or inability to use the Platform, even if INOSYS has been advised of the possibility of such damages.

In no event shall INOSYS's total liability to you for all claims arising under or in connection with these Terms exceed the total amount you have paid to INOSYS in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, INOSYS's liability will be limited to the fullest extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless INOSYS, Cosmos Origin LLC, and their respective officers, directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• your use of or access to the Platform;
• your User Content;
• your breach of these Terms; or
• your violation of any applicable law or the rights of any third party.

15. Account Suspension and Termination

INOSYS reserves the right to suspend or terminate your account and access to the Platform, with or without notice, if:

• you breach any provision of these Terms;
• INOSYS reasonably believes your account has been used fraudulently or in a manner that harms the Platform or other users;
• you fail to pay any fees due; or
• INOSYS is required to do so by applicable law or a regulatory authority.

Upon termination, your right to access the Platform ceases immediately. INOSYS may delete your account data in accordance with its data retention policy, subject to any legal obligations to retain such data.

You may close your account at any time by contacting support@inosys.org. Closing your account does not entitle you to a refund of any fees already paid, except as provided under the Refund Policy.

16. Changes to the Platform and Terms

INOSYS reserves the right to modify, update, or discontinue the Platform, or any feature or service thereof, at any time with or without notice.

INOSYS may also update these Terms from time to time. When material changes are made, INOSYS will notify you by email or by posting a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of those changes.

It is your responsibility to review these Terms periodically. The most current version will always be available at inosys.org/terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

• Informal Resolution. Before initiating any formal dispute, you agree to contact INOSYS at legal@inosys.org and attempt to resolve the matter informally. INOSYS will endeavour to respond to your complaint within 14 business days.
• Arbitration. If a dispute cannot be resolved informally within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the Arbitration and Conciliation Act (as amended by the Arbitration and Mediation Act 2023) of Nigeria. The arbitration shall be conducted in Abuja, Nigeria, in the English language.
• Jurisdiction. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction in Nigeria to prevent irreparable harm pending arbitration.
